Comprehensive Partnership Agreement: Collaborating with Fantascticz
To Our Valued Partner,
Fantascticz is pleased to explore the opportunity of featuring your products on our platform. Our commitment is to offer high-quality items that align with a curated sense of retro nostalgia and timeless charm. To ensure a clear, transparent, and successful collaboration, this document outlines the essential details, expectations, and commitments for our partnership.
Please review this agreement thoroughly. Understanding and adhering to these terms are vital for mutual success.
I. Product Standards & Quality Assurance:
- Condition: All products must be new, unused, and in pristine condition. Fantascticz maintains a standard of offering items that meet high-quality expectations for customers.
- Original Packaging:Β Products should be provided in their original, manufacturer-provided packaging where applicable. This protects the item and preserves its integrity for customers.
- Handmade & Artisan Items:Β For handmade items, products must be presented in secure, attractive packaging suitable for retail. This packaging must clearly feature the supplierβs company name (or personal brand name, if preferred) and the specific product name, which contributes to brand identity and customer experience.
II. Comprehensive Product Information (Essential for Safety & Listing):
- Materials & Composition:Β Detailed lists of all materials and components used in each product must be provided. This information is critical for accurate product descriptions and customer awareness.
- Safety & Warning Labels:Β Disclosure of any potential safety concerns or warnings associated with products is mandatory. This includes, but is not limited to:
- Cancer Warnings:Β If a product contains components that require specific warnings (e.g., California Proposition 65), this information must be provided to Fantascticz for prominent display.
- Allergy Components:Β A clear and comprehensive list of any potential allergens (e.g., specific metals, fabrics, glues, dyes, scents) is required. Customer well-being is paramount.
- Age Restrictions/Choking Hazards:Β Specification is required if any product is unsuitable for children under a certain age or poses a choking hazard.
- Care Instructions:Β If applicable, clear care instructions must be provided to assist customers in maintaining the product's quality and longevity.
III. High-Quality Imagery & Marketing:
- To effectively showcase products on Fantascticz, high-resolution images are vital. Suppliers may provide clean, well-lit photos. Alternatively, Fantascticz will create suitable imagery to align with the aesthetic standards of the brand.
IV. Partnership Timelines & Commitments:
- Contractual Agreement:Β Fantascticz will extend this partnership proposal forΒ seven (7) calendar daysΒ from the date of issuance for review and signed acceptance by the supplier. Prompt acceptance is appreciated to facilitate a swift progression of the partnership.
- Product Delivery to Fantascticz:Β Upon Fantascticz receipt of the supplier's signed agreement, products must be shipped and delivered to Fantascticz specified location withinΒ seventy-two (72) hours. This ensures timely processing and listing.
- Product Listing on Fantascticz:Β Once Fantascticz has received the products and all required information, Fantascticz commits to posting the items live on the Fantascticz website withinΒ seventy-two (72) hours. Each product will be curated with a detailed description, appropriate SEO tags, and appealing imagery.
- Repackaging Timeframes:Β Fantascticz aims to complete the repackaging of products withinΒ twenty-four (24) to forty-eight (48) hoursΒ of receipt, depending on the volume and complexity of the items.
V. Financial Terms & Payment:
- Commission Structure:Β Fantascticz will retain a commission ofΒ twenty-five percent (25%)Β of the total sale price (excluding shipping fees, which are passed directly to the customer) for each product sold. This commission compensates Fantascticz for comprehensive services including, but not limited to, marketing, website listing, customer service, packaging, order fulfillment, and associated administrative costs.
- Payment Processing:Β All customer payments will be processed through Shopify Payments. Fantascticz will be responsible for the Shopify Payments transaction fees (currently 2.9% + $0.30, subject to change by Shopify) from the retained commission.
- Supplier Payouts:Β Supplier payouts for sold items (75% of the total sale price per item) will be initiated by Fantascticz to the supplier's designated Shopify Payments account withinΒ three (3) business daysΒ following Shopify's official settlement period for each transaction. It is the supplier's responsibility to set up and maintain a Shopify Payments account to receive these payouts.
VI. Sales Communication & Updates:
- Fantascticz is committed to transparent communication with its valued partners. For every sale involving a supplier's product, Fantascticz will send email updates for each significant event:
- Sale Completed:Β Notification upon a customer's successful purchase.
- Product Shipped:Β Confirmation when the product has been dispatched from Fantascticz to the customer.
- Customer Received Product:Β Notification once customer receipt of the item is confirmed.
- Customer Feedback:Β Any significant customer contact regarding a product, including disputes, issues, or comments, will be forwarded to the supplier for awareness and collaborative resolution if necessary.
VII. Unsold Product Policy:
- If a product remains unsold on Fantascticz for a period ofΒ six (6) months, Fantascticz will initiate contact to discuss the next steps. Options for unsold inventory include:
- Return to Supplier:Β Products can be returned to the supplier. The cost of return shipping will be the responsibility of the supplier.
- Promotional Sale:Β With the supplier's written agreement, the item may be featured in a special promotional sale at a discounted price for an agreed-upon period to encourage sale.
- Donation:Β If the item remains unsold and unreturned after a further specified period (e.g., an additional three months), Fantascticz may, with the supplier's written consent, arrange for its donation to a local charity.
- Fantascticz Purchase:Β Fantascticz may, at its sole discretion, offer to purchase the unsold inventory from the supplier at a mutually agreed-upon discounted rate.
VIII. Breach of Agreement:
- Should either party fail to uphold the standards and commitments outlined in this agreement, the non-breaching party shall provide written notice detailing the breach. The breaching party will then haveΒ seven (7) calendar daysΒ to remedy the situation.
- Failure to remedy the breach within this timeframe may result in the immediate termination of this partnership agreement. Upon termination, any unsold products will be returned to the supplier (with return shipping costs borne by the supplier), and all outstanding payments for sold items will be settled within fourteen (14) business days.
IX. Supplier Information Sheet:
- To formalize this partnership and ensure accurate record-keeping, please complete the attachedΒ "Fantascticz Supplier Information Sheet." This sheet will gather all pertinent details required for our collaboration, including full contact information and business specifics.
This agreement constitutes the entire understanding between Fantascticz and the supplier.
